Tom has a broad range of employment law and corporate law experience. Tom works extensively on establishing and administrating stock or equity compensation plans, employee benefit arrangements and executive compensation arrangements for start up companies and in transactions involving venture capital financings, initial public offerings of securities, mergers and acquisitions and other strategic business transactions. Tom represents company founders, CEO's, CFO's, other senior executives, and principals in venture capital firms in California and throughout the United States in all employment matters. He negotiates sophisticated employment agreements, compensation packages, stock option grants, and severance arrangements, change-of-control agreements, and other transition-related agreements with management and their inside and outside counsels. Tom also advises management teams of acquired companies during mergers and acquisitions.
Professional Background
Tom is one of the founding partners of Kastner | Kim LLP. Prior to starting Kastner | Kim LLP, Tom was a partner of Kastner | Banchero LLP. Tom was also an associate in the Corporate Group and in the Employee Benefits Group of Fenwick & West LLP where he focused on executive compensation matters and employee benefit matters. Also, Mr. Kim worked as an in-house counsel for a private investment company prior to joining the firm.
